The subscriber further agrees not reproduce, license, sell, reveal, disseminate or make the content of Oil and Gas International website or newsletter accessible in whole or in part, in any manner whatsoever, to others. IT SHALL BE A VIOLATION OF THIS AGREEMENT AND GROUNDS FOR IMMEDIATE TERMINATION IF SUBSCRIBER RETRANSMITS, RESENDS, OR OTHERWISE MAKES THE Oil and Gas International WEBSITE OR NEWSLETTER ELECTRONICALLY OR OTHERWISE AVAILABLE TO THIRD PARTIES. The Subscriber may use Oil and Gas International website and newsletter content personally and for internal business purposes but may not retransmit, license, sell, distribution, or allow it to be used by third parties. The Subscriber may, however, create and disseminate to third parties content from Oil and Gas International website and/or newsletter when permission is obtained and the form created and disseminated contains a credit to Oil and Gas International in the following manner: "Courtesy: Oil and Gas International". (b) Neither this Agreement nor the subscription to Oil and Gas International may be transferred, assigned or delivered, directly, indirectly, by operation of law or otherwise (e.g., by merger, acquisition, dissolution), to any other person or entity without the prior written consent of Oil and Gas International. Any such attempted transfer or assignment shall be null and void and of no effect. (c) Unless otherwise stated, this Agreement covers service to the Subscriber at the place of business in the registration statement. Section 2. Payment The Subscriber is responsible for the subscription fee incurred in connection with the use of the Oil and Gas International website and newsletter, all applicable taxes, telephone, hardware, and connection charges. All charges are payable in full net annually upon registration and upon receipt of renewal notices on the date of the notice. If the subscription is cancelled within tten (10) days of the date of registration, a full refund less a $15 bank service fee will be credited to the Subscriber. If for any reason the Subscriber cancels or causes to end the subscription to Oil and Gas international after the ten day grace period, the Subscriber will not receive credit or refund in any form for any unused usage upon termination of this Agreement. Further, the Subscriber agrees that Oil and Gas International may revise fees on an annual basis. Section 3. Termination Termination of your rights to use the Oil and Gas International website and/or newsletter shall be governed by the specific terms of this Agreement. Unless otherwise specified, you may terminate your account or this Agreement at any time by giving written notice to Oil and Gas International. Termination will be effective on the day Oil and Gas International receives notice of termination. Termination does not relieve you of the financial obligations under this Agreement and you remain obligated for payment as described in Section 2 above. Oil and Gas International reserves the right to terminate or suspend any Subscriber's account or restrict a Subscriber's access to the Site at any time with or without cause. In the event of termination, you will remain bound by applicable use, confidentiality, nondisclosure and indemnity sections of this Agreement. Section 4. Indemnity The Subscriber agrees to indemnify and hold Oil and Gas International, its affiliates, parents and third party vendors from whom Oil and Gas International has obtained publishing rights, harmless from and against any claims, damages, and expenses, including reasonable legal and professional fees, arising from or in connection with all use of the website or the newsletter under the Subscriber's password even if the Subscriber illegally allows some other person to use his, her, or its password. Section 5. Disclaimer of Other Warranties Oil and Gas International website and newsletter are provided "AS IS" AND USE OF AND ACCESS TO THE WEBSITE IS AT SUBSCRIBER'S SOLE RISK. Section 6. Limitation of Liability UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, WILL Oil and Gas International OR ANY OF ITS AFFILIATES, PARENTS OR THIRD PARTY VENDORS BE LIABLE FOR ANY ECONOMIC, LOST PROFIT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES RESULTING FROM THE USE OF OR INABILITY TO USE THE WEBSITE OR NEWSLETTER EVEN IF Oil and Gas International HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Injunctive Relief: Subscriber agrees that a breach or threatened breach by Subscriber would irreparably harm Oil and Gas International in a way that could not be adequately and compensated for by damages. Consequently, Oil and Gas International shall have the right, in addition to any other rights or remedies it may have arising out of the breach, to obtain temporary, preliminary, and permanent injunctive relief without the necessity of proving actual damages and without any bond or other security being required. Arbitration: Without limiting Oil and Gas International's right to seek injunctive relief, the parties agree to submit all claims, disputes and controversies arising in connection with or relating to this Agreement, and which cannot be settled by mutual agreement, to mandatory and binding arbitration to be held in the English language in Houston, Texas, in accordance with the commercial arbitration rules of the American Arbitration Association (for users located in the United States), or in Calgary, Alberta in accordance with the arbitration rules of the Alberta Arbitration Act (for users located in Canada) or in London, England in accordance with the arbitration rules of the International Chamber of Commerce (for users located outside the United States and Canada). The laws of the State of Texas (for users located in the United States), or the laws of the Province of Alberta (for users located in Canada) or the laws of England (for users located outside the United States and Canada) shall govern the interpretation and disputes arising from or related to this Agreement. The parties shall split the costs of arbitration and under no circumstances may the Arbitrator be authorized to award special, economic, consequential, or punitive damages against either party. Notices: Any notices from Oil and Gas International required or permitted by this Agreement will be given to you by: (i) electronic mail to your address indicated on the registration form; or (ii) conventional mail to your billing address. Any notices you are required or permitted to give to Oil and Gas International under this Agreement may be sent to Oil and Gas International, PO Box 710046, Houston, Texas 77071 USA. No amendment to or modification of this Agreement will be binding unless in writing and signed by Oil and Gas International. Other: Oil and Gas International may, from time to time, make changes to this Agreement, and/or to the Oil and Gas International website and/or newsletter, and/or subscription prices relating to the website. Changes are effective upon notice given to Subscribers as set forth in this Agreement. By continuing to use the Oil and Gas International website after Oil and Gas International has given notice of changes to the Agreement, the Subscriber agrees to be bound by such changes. A Subscriber may not modify this Agreement without Oil and Gas International's express written consent. Should any provision in this Agreement be found invalid or unenforceable for any reason, that provision shall be deemed severable from the terms and shall not affect validity or enforceability of the remaining provisions. This Agreement may not be altered by action, inaction, or course of dealing between the parties. This Agreement may only be altered by (a) prior written mutual agreement between Oil and Gas International and User; or (b) Oil and Gas International posting revisions on the website. Failure by Oil and Gas International to object to a User's behavior, conduct or action does not constitute a consent, ratification, or waiver of objection. In the case of a conflict between this Agreement, the Oil and Gas International Terms and Conditions of Use, or any other specific written agreement, this Agreement shall govern for all purposes.
